Brand Ambassador Terms and Conditions

Brand Ambassador Terms and Conditions shall be considered as the established agreements between Blueberry Pet (Company) and You (Brand Ambassador).

Definitions

In Brand Ambassador Terms and Conditions, the following terms shall have the respective meanings specified below unless the context otherwise requires:

• The Company or Company is a company that sells products under the Blueberry Pet brand name, and/or Blueberry Pet Style brand name, and/or Blueberry Pet Essentials, and/or any affiliated brand names.
• The Brand or Brand means identifying symbol, mark, logo, name, word and/or sentence that Blueberry Pet and its affiliated partners use to distinguish our products from others.
• The Company Product(s) or Company Product(s) means any products which had once been made available via blueberrypet.com; and/or any products which are designed, pre-launched, trial-produced, and/or produced by Blueberry Pet and its affiliating brand names.
• The Ambassador or Ambassador means any participator who agreed to participate in this ambassador program.
• Social Media Platforms indicate Ambassador’s agreed social media accounts where he or she uses to promote Blueberry Pet products.
  

Brand Ambassador Requirements

• Ambassador must be at least 18 years old.
• Ambassador must have at least one public and active social media account. The social media account(s) shall have regular posts, comments and human social interactions. Non-organic followers and fake accounts are strictly prohibited.
• Ambassador must follow @Bluerberry_pet_usa Instagram account.
• Ambassador must have a PayPal account. 
• Ambassador must accept Brand Ambassador Terms and Conditions before participating in this affiliation program.
• Minimum Sales Volume Requirement: Ambassador is expected to contribute to at least one successful sale every 90 days interval. One successful sale is defined as payment made, product delivered, and product not returned. Ambassador who does not meet this minimal requirement is considered to be inactive. Thus, Blueberry Pet reserves the right to revoke the ambassador status and all associated discount codes and affiliated links shall be deactivated accordingly.
• Ambassador must not leak his or her personal discount codes on any posts, and/or comments, and/or personal chats, and/or group chats via social media platforms, which are owned and operated by Blueberry Pet. Blueberry Pet reserves the right to monitor major online coupon websites for unverified purchases with personal discount codes.
• Ambassador must comply with all federal, state and local regulations, including applicable laws governing marketing emails. Blueberry Pet reserves the right to suspend ambassador status, at any time without warning.

Brand Ambassador Responsibilities

• Ambassador has the ability to act as and shall act as Company’s representative in connection with the promotion of the Company Products and Brands under Terms and Conditions of this Agreement.
• Ambassador’s promotional activities shall be limited to common social media platforms, which are defined as Instagram, Facebook, Tiktok, Youtube, Twitter, Snapchat, and/or etc.
• Ambassador is expected to be responsible to Company, and/or Product, and/or Brand promotion, reputation and good word-of-mouth.
• Ambassador shall stay active on social media, sharing experiences and recommending our products to followers.

Brand Ambassador Benefit and Compensation

Personal Discount Code

Ambassador will receive a 15% off personal discount code solely for Ambassador’s purchases.  Personal discount code is eligible once per purchase per month. Revealing personal discount code to anyone shall be strictly prohibited. Blueberry Pet reserves the right to terminate the contract in case of any leaked personal codes.

Unique personal discount codes assigned for all ambassadors shall not be combined with any promotional codes to be used via www.blueberrypet.com.

Family and friends Discount Code

Ambassador will receive a 10% off discount code for friends, family and followers. This discount code can be reused multiple times. Blueberry Pet encourages all ambassadors to share these affiliated discount codes via any social media sites to any of your followers.

Affiliated Links

Ambassador shall be assigned with affiliated link(s) from Blueberry Pet. Any other links generated without our written consent shall not be considered as legitimate affiliated links.

Ambassador shall be compensated with commission fees whenever the purchase was made via your assigned affiliated link(s). This compensation is calculated as 10% of total purchase amount. Shipping fees and sales taxes are not included in the calculation. 

Successful purchases are defined as orders originated from www.blueberrypet.com, which are associated with affiliated links and payments made successfully without any returns. In case of technical difficulties with assigned affiliated links, some exclusions may apply. Such cases shall be investigated further and reviewed independently.

Affiliated Discount Codes

Similar to affiliated links, Ambassador shall be assigned with affiliated discount code(s) from Blueberry Pet. Any other codes generated without our written consent shall not be considered as legitimate affiliated codes.

Commission calculated from affiliated discount codes shall be consistent with affiliated links. This compensation shall be calculated only with successful purchases.

Payment Time

Commission payments are made on a monthly basis, to be exact, every 10^th of the month. Please expect a verification process where Blueberry Pet reserves the right to monitor purchases resulting from any affiliated links. This process usually takes up-to one month for any legitimate and verified purchases.

Brand Ambassador Restrictions

Blueberry Pet encourages our brand ambassadors to express themselves and to share creative contents via any social media platforms, but not at the expense of the safety and well-being of others or harm Blueberry Pet’s reputation.

Ambassador must not engage in the following activities unless special agreement was provided and elaborated in written format with detailed instructions.

• Incur any liability on behalf of Company, or in any way pledge Company’s credit or make any contract binding on behalf of Company.
• Give any warranty or guarantee which is not specifically elaborated on blueberrypet.com and/or on product packaging, on behalf of Company or in relation to the Company products.
• Offer Company products for sale other than blueberrypet.com, online or offline, without written consent from Company. Selling activities which originate not from www.blueberrypet.com shall not be considered as legit purchases. Thus, no commission would be considered and/or paid.
• Use Blueberry Pet in any domain name.
• Ambassador status shall be revoked if contents produced by Ambassador(s) have:
• X-rated and promote sexually explicit materials
• Promoting violence and discord
• Promoting discrimination based in race, sex, religion, nationality, disability, sexual orientation, or age
• Promoting illegal or questionable activities
• Violating intellectual property rights 
  

Confidentiality

The Parties to this Agreement shall not disclose to any third party, the use of the works engaged by the Brand Ambassador with the Company without the other party’s written consent.  Neither party may sell, nor disclose with any third party, any proprietary, or confidential information acquired by them in the course of their engagement with the other, without written consent of the other party.

Intellectual Property

The Ambassador acknowledges that any copyright relating to Work provided by the Ambassador hereby constitutes a “work made for hire” as this term is defined in the Copyright law and is owned by Company, for all purposes worldwide in perpetuity. Work product includes, but not limited to, all social media posts, pictures, images, videos, recordings, hashtags, posts, comments, and designs.

Except where prohibited by law or regulation, Ambassador grants the Company and its successors, assigns, licensees and designees permission to use Ambassador's name, Social Media Platform account name, photograph (including, but not limited to, Social Media Platform account profile photo), voice and/or other likeness,  in all media now known or hereafter discovered (including, without limitation, on The Company’s websites and via Company’s Social Media Platform accounts), worldwide in perpetuity, for any purpose without additional compensation, consideration, notification or consent. 

Ambassador acknowledged the ownership and validity of Company’s copyrights, brands, trademarks, trade dress and patent rights, whether or not created by or contributed to Ambassador.

The Company Products and other intellectual property contain valuable copyright, trade secret, trademark and other proprietary rights of Company. Except for the limited rights granted herein, Company reserves all rights in and to the Company Products and other software. No title to or ownership of any software or proprietary rights related to software is transferred to Ambassador hereunder. Company’s copyrighted material of any kind shall not be copied by Ambassador without Company’s written consent.

The company will own the full and complete copyright to the uploaded media. However, both Parties are permitted to share the content subject to this agreement within their own channels.

Period and Termination

This Contract shall remain effective and enforceable for a period of 1 year, beginning on the effective date of this agreement up until the year thereafter, unless prematurely terminated by either party.

Should any party decide to terminate this Agreement prior to the date of maturity, the party shall notify the other at least thirty (30) days prior the termination date.

Should any of the provisions of this Agreement be held invalid by any competent court, the same shall apply only to the said provision and the remaining provisions hereof shall remain valid and enforceable.

Brand Ambassador Agreement Modification

The Company reserves the right to change the terms and conditions of this Agreement in the future. Unless this Agreement or applicable law specifies otherwise, the company will give Ambassador thirty (30) days prior notice of any significant change to this Agreement. If any Ambassador finds the change unacceptable, Ambassador shall have the right to terminate the Agreement. No modification or alteration of this contract from ambassador’s side shall be considered.
